1. Introduction

Welcome to YotPoint. These Terms of Service ("Terms") govern your access to and use of the YotPoint platform, including any content, functionality, and services offered on or through our website (the "Service").

Please read these Terms carefully before using our Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

The Service is intended for users who are at least 18 years of age. By using the Service, you represent and warrant that you are of legal age to form a binding contract with YotPoint and meet all eligibility requirements.

3. Account Registration and Security

To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to disable any user account at any time if, in our opinion, you have violated any provisions of these Terms.

4. User Conduct

You agree not to use the Service:

  • In any way that violates any applicable local, national, or international law or regulation.
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," or "spam."
  • To impersonate or attempt to impersonate YotPoint, a YotPoint employee, or another user.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service.
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service.
  • To use the Service in any manner that could disable, overburden, damage, or impair the site.

5. Quote Requests and Services

YotPoint provides a platform for yacht owners, captains, and managers to connect with service providers. We do not guarantee the quality, safety, or legality of services provided by third-party service providers connected through our platform.

You understand and agree that YotPoint is not responsible for any loss or damage of any kind incurred as a result of any interactions between you and service providers found through our Service.

All quote requests and information provided must be accurate and truthful. Misrepresentation of information may result in termination of your account.

6. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by YotPoint, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as follows:

  • Your computer may temporarily store copies of such materials incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the Service for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

7. User Content

By posting, uploading, or otherwise making available any content on our Service, you grant YotPoint a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit such content in connection with the Service.

You represent and warrant that you own or have the necessary rights to grant us the license to use the content you submit, and that such content does not violate the rights of any third party.

We reserve the right to remove any content that violates these Terms or that we find objectionable for any reason.

8. Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

YOTPOINT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

YOTPOINT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

IN NO EVENT SHALL YOTPOINT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY:

  • ERRORS, MISTAKES, OR INACCURACIES OF CONTENT
  • PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICE
  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN
  • ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICE
  • ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE
  • ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE

THIS LIMITATION OF LIABILITY APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF YOTPOINT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

10. Indemnification

You agree to defend, indemnify, and hold harmless YotPoint, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

11. Subscription and Payment Terms

Some aspects of the Service may require a paid subscription. By subscribing to YotPoint, you agree to pay all fees applicable to your subscription plan. We may modify subscription fees at any time with notice to you.

Unless otherwise stated, all fees are quoted in US Dollars. You are responsible for paying all taxes associated with your subscription, excluding taxes based on YotPoint's net income.

Subscriptions automatically renew for the specified period unless canceled before the renewal date. You may cancel your subscription at any time through your account settings or by contacting customer support.

12. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within the United Kingdom for the resolution of any disputes.

While we operate globally and welcome users from around the world, any legal disputes will be resolved under UK law. Users from other jurisdictions may have additional rights under their local laws, and nothing in these Terms is intended to limit those rights that cannot be limited by law.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
